These Terms and Conditions (“Terms”) govern the use of the services offered by WEBNEST IT LIMITED (“us,” “we,” or “our”). By placing an order with us, you (the “Client”) agree to be bound by these Terms.
Services
We provide a variety of web design and development services, including:
- Website design and development
- Content creation
- Search engine optimization (SEO)
- E-commerce development
- Website maintenance and support
The specific services included in your project will be outlined in a separate project proposal or agreement.
Project Scope
The project scope will be clearly defined in the project proposal or agreement. This will include deliverables, timelines, and costs. Any changes to the scope of work must be agreed upon in writing by both parties before the work commences. Additional services outside the original scope will be billed at our standard hourly rate.
Content and Materials
You are responsible for providing all content and materials necessary for the project, including text, images, logos, and videos. You warrant that you have the right to use and distribute all materials provided to us. We reserve the right to refuse to use any content that we deem to be offensive, illegal, or otherwise inappropriate.
Revisions
We offer a limited number of revisions for each project phase as outlined in the project proposal. Additional revisions will be billed at our standard hourly rate.
Delivery and Acceptance
Upon completion of the project, we will deliver the final files to you electronically. You will have a 15-day period to review the work and request any final revisions. Once you approve the final deliverables in writing, the project will be considered complete.
Payment Terms
Our payment terms are outlined in the project proposal or agreement. Typically, we require a 50% deposit upfront and the remaining balance due upon completion of the project. We accept payment via Debit Card or Credit Card, Paypal. Late payments will be subject to a late fee of 10% per month.
Warranties and Disclaimers
We warrant that the services we provide will be performed in a professional and workmanlike manner. However, we make no warranties of any kind, express or implied, regarding the specific results of our services. You agree to hold us harmless from any claims arising from the use of our services.
Intellectual Property
We retain ownership of all intellectual property rights created by us during the course of the project, unless otherwise agreed upon in writing. You will own all intellectual property rights in the content and materials that you provide to us.
Confidentiality
We will treat all confidential information disclosed by you as confidential. You agree to treat all confidential information disclosed by us as confidential.
Termination
We may terminate these Terms and any project agreement with you for cause, including but not limited to your failure to make timely payments or your violation of these Terms. You may terminate these Terms and any project agreement with us for any reason upon written notice. In the event of termination, we will be entitled to payment for all work completed up to the date of termination.
Limitation of Liability
Our total liability to you under these Terms will not exceed the amount paid by you for the services. We will not be liable for any indirect, incidental, consequential, or punitive damages arising from or related to these Terms or the services we provide.
Entire Agreement
These Terms constitute the entire agreement between you and us regarding the subject matter hereof and supersede all prior or contemporaneous communications and agreements, whether oral or written.
Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.
Amendment
We may amend these Terms at any time by posting the amended terms on our website. Your continued use of our services after the posting of any amended terms constitutes your acceptance of the amended Terms.
